Terms of Service
These Terms govern access to and use of the websites, applications, APIs, software, documentation, and related services made available by Thurix Software Private Limited, doing business as Thuriyam, including the Sentient Agentsplatform (collectively, the “Services”).
By accessing or using any of the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not access or use the Services.
1. Scope of these Terms
These Terms apply to:
- visitors to our public websites and marketing pages;
- users who request information, demos, trials, pilot access, or other evaluation access;
- customers and authorized users who access the Sentient Agents platform, related APIs, and associated tools; and
- downloads, documentation, reports, and other materials we make available through the Services.
If you and Thuriyam enter into a separate written agreement, order form, master services agreement, subscription agreement, partner agreement, statement of work, or similar contract covering certain Services, that agreement will control to the extent of any conflict with these Terms for those Services.
2. The Services
The Services may include, depending on your plan or engagement:
- a multi-tenant software platform for designing, configuring, testing, deploying, operating, and monitoring AI-driven agent programs and related workflows;
- lifecycle, routing, workflow automation, case-management, analytics, governance, observability, and human-in-the-loop capabilities;
- model, tool, and API access layers, including AI gateway and integration functionality;
- sandbox, test, staging, pilot, and production environments;
- professional services, onboarding, implementation, support, enablement, or advisory services; and
- public website content, white papers, product documentation, and other informational materials.
We may update, improve, modify, suspend, or discontinue all or part of the Services from time to time. We do not undertake to maintain any particular feature set unless expressly agreed in writing.
3. Eligibility and Account Registration
You may use the Services only if you are legally able to enter into a binding contract and your use is not prohibited under applicable law.
To access certain Services, you may need to create or be assigned an account. You agree to:
- provide accurate, current, and complete information;
- keep account credentials confidential;
- promptly notify us of any unauthorized use or security incident involving your account; and
- ensure that each user account is used only by the authorized person to whom it is assigned, unless we expressly permit otherwise.
You are responsible for all activities occurring under your accounts, whether or not authorized by you, except to the extent caused by our breach of these Terms or our security obligations expressly agreed in writing.
4. Orders, Subscriptions, and Access Rights
Subject to these Terms and any applicable order or written agreement, Thuriyam grants you a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable term to access and use the Services for your internal business purposes.
You may not:
- sell, resell, lease, sublicense, distribute, or otherwise make the Services available to third parties except as expressly authorized in writing;
- use the Services to provide a competing service bureau or outsourced platform to third parties unless expressly permitted under a partner or reseller agreement;
- reverse engineer, decompile, disassemble, or attempt to discover source code, underlying models, or non-public system architecture, except to the extent such restriction is prohibited by law;
- remove or obscure proprietary notices; or
- use the Services in a manner that exceeds purchased, licensed, or otherwise permitted usage limits.
Trial, beta, pilot, sandbox, and evaluation access may be subject to additional restrictions, reduced functionality, usage caps, or special terms.
5. Customer Responsibilities
You are solely responsible for:
- your Customer Data, including its accuracy, quality, legality, and the means by which you obtained it;
- configuring the Services for your business, operational, and compliance requirements;
- reviewing outputs, recommendations, summaries, classifications, workflows, messages, and other results generated or supported by the Services before relying on them in production or customer-facing settings;
- obtaining all notices, consents, approvals, permissions, and lawful bases required for your collection, recording, monitoring, analysis, transfer, and use of data, content, communications, transcripts, personal data, and other Customer Data processed through the Services;
- your personnel, agents, contractors, administrators, and end users and their compliance with these Terms;
- maintaining your own business continuity, retention, legal review, and escalation processes where needed for your use case; and
- complying with all laws, regulations, rules, and industry obligations applicable to your use of the Services and your interactions with your customers, users, prospects, counterparties, or regulated populations.
You acknowledge that the Services are tools that support your operations; they do not replace your responsibility to make business, legal, compliance, credit, underwriting, medical, employment, safety, or other regulated or high-impact decisions.
6. Acceptable Use Restrictions
You will not, and will not permit any third party to:
- use the Services in violation of law, regulation, court order, or third-party rights;
- use the Services to store, process, generate, or transmit unlawful, infringing, defamatory, abusive, fraudulent, deceptive, or harmful content;
- use the Services to send spam, unlawful robocalls, unlawful telemarketing, or messages that violate consent, opt-out, recording, consumer protection, telecom, or similar rules;
- use the Services to exploit, harm, or attempt to harm minors or vulnerable persons;
- use the Services for emergency response, life-critical, safety-critical, military, weapons, or similarly high-risk uses where failure or inaccuracy could reasonably lead to death, bodily injury, or severe property or environmental damage, unless expressly approved by Thuriyam in a separate written agreement;
- use the Services to develop, train, benchmark, or improve a competing product or model using non-public parts of the Services, except to the extent expressly permitted in writing;
- interfere with, disrupt, degrade, probe, scan, or test the vulnerability of the Services except through an authorized security program;
- bypass authentication, rate limits, tenant boundaries, environment boundaries, or usage restrictions;
- upload malware, malicious code, or content intended to disable, damage, exfiltrate from, or gain unauthorized access to systems or data;
- use the Services to generate or operationalize content that intentionally impersonates a person or entity, commits fraud, or facilitates unlawful discrimination; or
- use the Services in any way that could create a material security risk, operational burden, reputational harm, or legal exposure for Thuriyam, the Services, or other customers.
We may define additional acceptable use, security, API, or platform policies from time to time, and those policies are incorporated into these Terms by reference when made available to you.
7. AI- and Automation-Specific Terms
You acknowledge and agree that:
- AI-generated and automated outputs may be incomplete, inaccurate, biased, out of date, non-unique, or inappropriate for your particular use case;
- outputs may depend on prompts, configurations, customer data quality, external systems, third-party providers, and probabilistic model behavior;
- the Services may trigger actions, messages, workflows, classifications, or recommendations based on rules, models, events, or automated workflows configured by you or on your behalf;
- you are responsible for appropriate human review, approval thresholds, and escalation paths before using outputs or automation in high-impact, regulated, financially material, or customer-sensitive situations; and
- Thuriyam does not guarantee that any output is correct, compliant, available, lawful, or fit for a particular decision or workflow.
You will not represent to any third party that AI-generated or automated outputs are guaranteed accurate, error-free, or suitable as the sole basis for legal, compliance, underwriting, collections, employment, medical, safety, or other high-impact decisions.
If you use the Services in regulated or high-trust environments, you are responsible for validating that your deployment, configurations, prompts, templates, scripts, review processes, and end-user communications satisfy your requirements and applicable law.
8. Customer Data
As between the parties, you retain all right, title, and interest in and to Customer Data. You grant Thuriyam and its subprocessors a non-exclusive, worldwide, limited right to host, copy, transmit, process, display, analyze, and otherwise use Customer Data solely as necessary to provide, secure, support, monitor, maintain, improve, and enforce the Services and these Terms, and as otherwise permitted by applicable law and our agreements with you.
You represent and warrant that you have all rights, permissions, and legal bases necessary to provide Customer Data to Thuriyam and to authorize the processing contemplated by these Terms.
Unless expressly agreed otherwise in writing:
- you are responsible for determining what Customer Data you submit to the Services;
- you should not submit data to the Services if you do not have the right to do so;
- you remain responsible for notices, consent flows, retention schedules, and deletion instructions required for your use case; and
- Thuriyam is not responsible for reviewing Customer Data for legal sufficiency, accuracy, or appropriateness before it is processed through the Services.
9. Privacy and Security
Our collection and use of personal data relating to website visitors and account users is described in our Privacy Policy. If we process personal data on your behalf as a processor or service provider for enterprise Services, the parties may enter into a separate Data Processing Addendum.
Thuriyam will implement and maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect the Services and Customer Data against unauthorized access, use, alteration, or disclosure. No security measure is perfect, and except as expressly stated in a written agreement, we do not guarantee that the Services will be secure, uninterrupted, or error-free.
You are responsible for maintaining the security of your own systems, credentials, integrations, devices, networks, and configuration choices.
10. Third-Party Services and Integrations
The Services may interoperate with or depend on third-party products, services, APIs, models, model providers, messaging providers, telecom providers, cloud infrastructure, data sources, or other integrations (“Third-Party Services”). Your use of Third-Party Services may be subject to separate terms, privacy notices, fees, or policies imposed by those third parties.
Thuriyam is not responsible for Third-Party Services, including their availability, security, legality, performance, outputs, model behavior, changes, pricing, or failures. Thuriyam may suspend or limit access to any integration or Third-Party Service if required by the third-party provider, law, security concerns, or operational necessity.
11. Intellectual Property
Thuriyam and its licensors retain all right, title, and interest in and to the Services, including all software, APIs, documentation, models, workflows, templates, interfaces, designs, content, usage data, analytics, derivative works, and intellectual property rights therein, excluding Customer Data and subject to your rights in it.
Except for the limited rights expressly granted under these Terms, no rights are granted to you by implication, estoppel, or otherwise.
If you provide suggestions, ideas, enhancement requests, feedback, or recommendations regarding the Services, Thuriyam may use them without restriction or obligation.
12. Usage Data and Service Improvement
Thuriyam may collect and use technical logs, telemetry, metadata, usage statistics, performance metrics, and operational data relating to the use, support, security, and functioning of the Services (“Usage Data”). Thuriyam may use Usage Data to provide, secure, monitor, troubleshoot, improve, and develop the Services, generate analytics, enforce usage limits, prevent abuse, and support billing and capacity planning.
Thuriyam may also use aggregated and de-identified data derived from Customer Data and Usage Data for analytics, benchmarking, product improvement, security, and business purposes, provided such data does not identify you or any individual as the source.
13. Fees, Billing, Taxes, and Payment
If you purchase paid Services, you agree to pay all fees specified in the applicable order, subscription, statement of work, or other written agreement. Unless otherwise stated in writing:
- fees are stated and payable in the currency specified in the applicable order;
- fees are non-cancelable and non-refundable except as expressly stated in these Terms or required by law;
- subscriptions renew automatically for successive terms equal to the initial term unless either party provides notice of non-renewal at least 30 days before the end of the then-current term;
- you authorize Thuriyam or its payment processor to charge the applicable payment method for fees due; and
- late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
Fees are exclusive of taxes, duties, levies, or similar governmental assessments, and you are responsible for all such amounts other than taxes based on Thuriyam's net income.
If you dispute an invoice, you must notify Thuriyam in writing within 15 days after the invoice date, describing the basis for the dispute in reasonable detail. Undisputed amounts remain payable when due.
14. Suspension
Thuriyam may suspend or limit access to any part of the Services immediately, with or without notice, if:
- your use poses a security risk to the Services, Thuriyam, or any third party;
- you breach these Terms or any applicable order or policy;
- your use may subject Thuriyam or others to legal, regulatory, or operational risk;
- payment is overdue;
- a third-party provider requires suspension;
- we suspect fraud, abuse, unlawful activity, or unauthorized access; or
- suspension is necessary for emergency maintenance or to prevent material harm.
Where reasonably practicable, Thuriyam will use commercially reasonable efforts to provide notice and an opportunity to cure, but Thuriyam is not required to do so where immediate action is reasonably necessary.
15. Beta, Trial, and Evaluation Services
Beta, preview, pilot, sandbox, proof-of-concept, no-charge, or evaluation Services are provided “as is,” may be incomplete, may contain bugs or errors, may be subject to usage caps, and may be modified, suspended, or discontinued at any time without liability.
Unless otherwise agreed in writing, Thuriyam may terminate beta, trial, or evaluation access at any time for any reason.
16. Confidentiality
Each party (“Receiving Party”) agrees to protect the other party's non-public information disclosed in connection with the Services (“Confidential Information”) using reasonable care, and at least the same degree of care it uses to protect its own similar information, but no less than reasonable care.
The Receiving Party may use Confidential Information only as necessary to exercise its rights or perform its obligations under these Terms, and may disclose it only to personnel, contractors, advisors, or subprocessors who have a need to know and are bound by confidentiality obligations at least as protective as those in this Section.
Confidential Information does not include information that the Receiving Party can demonstrate:
- was already lawfully known to it without restriction;
- becomes publicly available through no breach of these Terms;
- is lawfully received from a third party without restriction; or
- is independently developed without use of the disclosing party's Confidential Information.
The Receiving Party may disclose Confidential Information if required by law, subpoena, or court order, provided it gives prompt notice where legally permitted and reasonably cooperates, at the disclosing party's expense, in seeking confidential treatment.
17. Warranties Disclaimer
Except as expressly set forth in a separate written agreement signed by Thuriyam, the Services are provided “as is” and “as available.” To the maximum extent permitted by law, Thuriyam and its affiliates, licensors, suppliers, and subprocessors disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, results, or that the Services will be uninterrupted, secure, error-free, or free of harmful components.
Without limiting the foregoing, Thuriyam does not warrant that:
- the Services will meet your requirements or achieve any particular business result;
- any output, analysis, recommendation, message, transcript, classification, decision support, or automation result will be accurate, complete, compliant, available, or fit for any particular purpose;
- any third-party service, model, provider, or integration will continue to be available or perform as expected; or
- your use of the Services will satisfy any legal, regulatory, or industry requirement applicable to your business.
18. Indemnification
You will defend, indemnify, and hold harmless Thuriyam, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, actions, proceedings, damages, losses, liabilities, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- your or your users' use of the Services in violation of these Terms or applicable law;
- Customer Data;
- your products, services, communications, campaigns, workflows, automations, prompts, templates, or business processes;
- your failure to obtain required notices, consents, or permissions;
- your use of the Services in regulated, high-risk, or customer-facing contexts;
- your violation of third-party rights, including privacy, publicity, intellectual property, or consumer protection rights; or
- any allegation that Thuriyam is required to comply with obligations that apply to you, your industry, or your use case solely because of your business activities, Customer Data, or deployment choices.
If Thuriyam receives a claim that the Services infringe a third party's intellectual property rights, Thuriyam may, at its option and expense: modify the affected Services to make them non-infringing; obtain the right for you to continue using them; or terminate the affected Services and refund any prepaid fees covering the terminated portion of the unused subscription term. This Section states Thuriyam's sole and exclusive liability, and your exclusive remedy, for third-party intellectual property infringement claims regarding the Services.
Thuriyam will have no obligation under the preceding paragraph to the extent a claim arises from Customer Data, Third-Party Services, combinations not supplied by Thuriyam, modifications not made by Thuriyam, or use of the Services in violation of these Terms.
19. Limitation of Liability
To the maximum extent permitted by law:
- Thuriyam will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business interruption, or cost of cover, even if advised of the possibility of such damages; and
- Thuriyam's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the total amounts paid or payable by you to Thuriyam for the applicable Services giving rise to the claim during the twelve (12) months before the event giving rise to liability, or, if you are using only no-charge Services, one hundred U.S. dollars (US$100).
The foregoing limitations apply regardless of the form of action and even if a remedy fails of its essential purpose.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
20. Term and Termination
These Terms begin when you first access or use the Services and continue until terminated.
For paid subscriptions, the applicable subscription term will be stated in the order or written agreement. Either party may terminate:
- for convenience at the end of the then-current subscription term by providing any required non-renewal notice;
- immediately if the other party materially breaches these Terms or the applicable order and fails to cure the breach within 30 days after written notice, except where a shorter period or immediate suspension or termination is justified by security, legal, or payment issues; or
- immediately if the other party becomes insolvent, ceases business operations, or becomes subject to bankruptcy, receivership, liquidation, or similar proceedings.
Upon expiration or termination:
- your right to access and use the terminated Services ends immediately;
- you must stop using the terminated Services;
- each party may require the other to return or delete Confidential Information, subject to legal retention obligations;
- Thuriyam may delete or disable access to Customer Data after a reasonable post-termination retrieval period, unless otherwise agreed in writing or required by law; and
- Sections that by their nature should survive will survive, including sections concerning fees owed, intellectual property, confidentiality, disclaimers, indemnities, limitations of liability, disputes, and interpretation.
21. Publicity
Thuriyam may identify you as a customer and use your name and logo in customer lists and marketing materials only with your prior written consent, unless otherwise agreed in writing. You may not use Thuriyam's name, marks, or logos except as expressly permitted by Thuriyam.
22. Export Controls and Sanctions
You may not access or use the Services in violation of export control, sanctions, anti-boycott, or similar trade laws. You represent and warrant that you are not, and are not owned or controlled by, a person or entity that is the target of applicable sanctions or located in a prohibited jurisdiction, and that you will not provide access to the Services to any such person or entity.
23. Changes to the Services or Terms
Thuriyam may update these Terms from time to time. If we make material changes, we will post the updated Terms on the relevant website or otherwise notify you as required by law or our agreement with you. Unless otherwise stated, changes become effective when posted.
Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
24. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, excluding its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction and venue of the courts in Bangalore, Karnataka, India, and each party irrevocably submits to those courts, except that Thuriyam may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or security interests.
25. General Terms
These Terms, together with any applicable order, policy, or written agreement referenced herein, constitute the entire agreement between you and Thuriyam regarding the applicable Services and supersede all prior or contemporaneous communications on that subject.
You may not assign or transfer these Terms, in whole or in part, without Thuriyam's prior written consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of your assets. Thuriyam may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
No failure or delay by either party in exercising any right under these Terms will operate as a waiver.
Nothing in these Terms creates any agency, partnership, joint venture, fiduciary duty, or employment relationship between the parties.
Any notices required under these Terms must be sent to the contact details specified in the applicable order or, if none, to the contact information below.
